1. Agreement to Terms

These Terms and Conditions form a legally binding agreement between you ("User") and Francisco Miguel Consciência Neves, acting as an independent professional ("Trabalhador Independente") in Portugal ("we", "us", "our"), regarding your access to and use of JXScout Pro Version (https://jxscout.app), including all related services, applications, and platforms (collectively, the "Service").

By accessing or using the Service, you confirm that you have read these Terms, understood them, and agree to comply with them. If you do not agree with any part of these Terms, you must not use the Service.

We reserve the right to update or revise these Terms at any time. When changes are made, the "Last Updated" date will be modified accordingly. It is your responsibility to review the Terms regularly. Continued use of the Service after any changes have been published constitutes your acceptance of the revised Terms.

The Service is provided for use in accordance with applicable laws. Accessing the Service from jurisdictions where its use is restricted or prohibited is done at your own risk, and you are solely responsible for ensuring compliance with local regulations.

The Service is not intended for use in activities that are subject to specific regulatory frameworks, including healthcare, financial services, or government security regulations. If your intended use falls under such regulations, you are not permitted to use the Service.

The Service is intended only for individuals who are at least eighteen (18) years old. By using the Service, you represent that you meet this age requirement. Users under 18 are not authorized to access or register for the Service.

2. Intellectual Property Rights

Unless otherwise stated, all content and materials available through the Service, including but not limited to source code, databases, software, features, designs, text, images, graphics, audio, video, and other digital materials (collectively, the "Content"), as well as any trademarks, logos, or service marks displayed (the "Marks"), are owned by or licensed to Francisco Miguel Consciência Neves and are protected under applicable intellectual property laws in Portugal, the European Union, and international conventions.

The Content and Marks are provided solely for your personal and informational use and are made available "as is." Nothing in these Terms grants you any ownership rights in the Service, the Content, or the Marks.

Except where expressly permitted under these Terms, you may not copy, modify, reproduce, distribute, publish, display, transmit, sell, license, create derivative works from, or otherwise use any part of the Service, Content, or Marks for commercial or public purposes without prior written authorization from us.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and to download or print portions of the Content solely for your personal, non-commercial use.

All rights not expressly granted to you in these Terms are reserved by us. Any unauthorized use of the Service, Content, or Marks may result in termination of your access and may give rise to legal action.

3. User Representations

By accessing or using the Service, you confirm and agree that:

• You have the legal capacity to enter into this agreement and to comply with these Terms.
• You meet the minimum age requirement established in these Terms and are legally permitted to use the Service in your country of residence.
• You will access and use the Service only through standard, human-operated interfaces and will not use automated tools, bots, scripts, or similar methods without prior authorization.
• You will not use the Service for unlawful, fraudulent, or unauthorized activities.
• Your use of the Service will comply with all applicable laws and regulations.

We reserve the right to suspend, restrict, or terminate your access to the Service, including any associated account, if any information you provide is false, misleading, outdated, or incomplete, or if you violate these Terms.

4. License Terms

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for the duration of your active subscription.

Licenses are issued on a monthly or yearly basis, depending on the subscription plan selected at the time of purchase, and are linked to your email.

All payments are processed securely through our payment provider, Stripe. We reserve the right to modify our pricing structure with at least fourteen (14) days' prior notice. Any updated pricing will apply from the next renewal period onward.

All upgrades to higher subscription plans will take effect immediately upon confirmation of payment. Downgrades to lower plans will become effective at the start of the next billing cycle.

Unless otherwise agreed in writing, each license permits use of the Service on at most two devices simultaneously. You may request authorization to use the Service on additional devices by contacting us at francisco@jxscout.app. Reasonable requests may be approved at my discretion and, where applicable, free of charge.

The Service may only be used for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. Any misuse may result in suspension or termination of your license without refund.

The Service may not be used in jurisdictions subject to trade or economic sanctions, including those administered by the Office of Foreign Assets Control. Use of the Service in such jurisdictions may result in immediate deactivation of the license.

We reserve the right to offer customized subscription periods, pricing plans, or licensing terms on a case-by-case basis.

5. Examination, Complaints, and Refund Policy

Upon gaining access to the Service, the Customer is responsible for promptly reviewing and testing its functionality to ensure it operates as expected.

If the Customer identifies any material defects, malfunctions, or issues affecting the intended use of the Service, they must notify us in writing without undue delay by contacting francisco@jxscout.app and providing reasonable details of the issue.

Complaints should normally be submitted within fifteen (15) days from the date of purchase. Failure to report identifiable issues within this period may be considered acceptance of the Service, unless otherwise required by applicable law.

Where a valid complaint is submitted within the applicable period, we will use reasonable efforts to resolve the issue through repair, correction, or technical support. If the issue cannot be resolved within a reasonable timeframe, the Customer may be entitled to an appropriate refund or credit, taking into account the remaining duration of the license.

If the Service develops defects during the active license period, we may, at our discretion, provide corrective updates, technical fixes, or a partial refund proportional to the unused subscription period.

To the maximum extent permitted by law, the remedies described in this section constitute the Customer's primary remedies in relation to defects or non-conformity of the Service.

Nothing in this section limits or excludes any mandatory rights granted to consumers under applicable Portuguese or European Union law.

6. Corrections and Updates

We strive to ensure that all information presented through the Service is accurate and up to date. However, occasional typographical errors, technical inaccuracies, or omissions may occur, including in relation to descriptions, pricing, features, or availability.

We reserve the right to correct, update, or modify any information on the Service at any time, without prior notice, where permitted by law.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without any express or implied warranties, except as required by applicable law.

To the maximum extent permitted by Portuguese and European Union law, we disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from harmful components. We do not warrant the accuracy, completeness, or reliability of any content made available through the Service.

We are not responsible for the content, products, or services of third-party websites or services that may be linked to or integrated with the Service. Any interactions with third parties are solely between you and the relevant provider.

Nothing in this section limits any mandatory consumer rights under applicable law.

8. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, or business interruption, arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising under these Terms, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you to us in the six (6) months preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot be excluded or limited under Portuguese or European Union law, including liability for intentional misconduct, gross negligence, or personal injury.

9. Indemnification

You agree to indemnify and hold us harmless from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms;
• Your breach of any applicable law or regulation;
• Your infringement of any intellectual property or other rights of a third party;
• Your misuse of the Service or harmful conduct toward other users.

We reserve the right, at our own expense, to assume the defense of any matter subject to indemnification, in which case you agree to cooperate reasonably with such defense.

We will use reasonable efforts to inform you of any indemnifiable claim once we become aware of it.

10. Miscellaneous

These Terms, together with any policies, guidelines, or notices published by us in connection with the Service, represent the full agreement between you and Francisco Miguel Consciência Neves regarding your use of the Service. They supersede any prior agreements, communications, or representations, whether written or oral, relating to the Service.

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision. We may assign or transfer any of our rights or obligations under these Terms to third parties at our discretion.

We are not liable for any loss, damage, delay, or failure caused by circumstances beyond our reasonable control, including but not limited to technical failures, internet outages, or acts of third parties.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be limited or removed to the minimum extent necessary, and the remainder of the Terms will remain valid and enforceable.

Nothing in these Terms creates a partnership, employment, joint venture, or agency relationship between you and us.

These Terms are governed by the laws of Portugal, and any disputes shall be resolved under the exclusive jurisdiction of the Portuguese courts.

You agree that these Terms may be accepted electronically and that your use of the Service constitutes your consent to be bound by them.

This tool is intended for educational and authorized security testing purposes only.

You may use this software only on systems you own or have explicit permission to test.

Any misuse of this tool is strictly prohibited. The author is not responsible for any damage, legal issues, or misuse caused by this software.
